General Terms of Use

Please read these Terms and Conditions ("Terms") carefully before using our Fluwerio platform and all the services that are attached to it (the "Service"). These Terms govern your access to and use of the Service provided by Deepstack Ventures ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not register to the Service.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

1.1 License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes.

1.2 Restrictions: You agree not to: (a) copy, modify, or distribute the Service or any content therein; (b) reverse engineer, decompile, or disassemble the Service or any part thereof; (c) attempt to gain unauthorized access to the Service or its related systems or networks; (d) interfere with the proper functioning of the Service or disrupt its servers or networks; (e) use the Service for any illegal, harmful, or unauthorized purposes; or (f) remove or alter any copyright, trademark, or other proprietary notices from the Service.

1.3 Account Registration: To access and use the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during the registration process and to promptly update your account details as necessary.

1.4 Forbidden Registration: We do not provide the Service to businesses and companies and all their affiliates in the following industries or promoting contents in: pornography, human trafficking, drugs, firearms sales, violence and abuses, illegal money laundering, illegal gambling, Ponzi schemes.

1.5 No Refund on Mislead Registration: In case a business, company or affiliate, affected by article 1.4, has mislead Us to accept a Registration, we suspend or terminate the company access to the Service and close all accounts. No prior Service fees refund will be provided.

1.5 Litigation on Mislead Registration: In case a business, company or affiliate, affected by article 1.4, has mislead Us to accept a Registration, the company shall bear all the litigation financial cost that the Service Registration might consequence.

2.1 Ownership: The Service, including all software, technology, designs, trademarks, and content, is owned by Deepstack Ventures and its licensors and is protected by intellectual property laws. These Terms do not grant you any right or license to use our trademarks, logos, or other proprietary materials.

2.2 User Content: By using the Service, you may submit or upload content, such as data, text, images, or files ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display your User Content for the purpose of providing and improving the Service.

3.1 By registering and using the platform, you acknowledge that we may not be fully aware of the specific regulatory requirements applicable to the restaurant industry in your jurisdiction, including any future amendments to such regulations.

3.2 Accordingly, we disclaim all liability for any non-compliance of the data we store on your behalf with the laws or regulations of your country or region.

4.1 It is your responsibility to inform us of any known or potential compliance issues arising from the regulatory framework in your jurisdiction.

4.2 We are under no obligation to implement changes to ensure compliance. Any notification you provide serves solely to raise awareness.

4.3 Following receipt of your notice and our response, you will have a 60-day period to export your data and decide whether to continue using the platform.

5.1 Fees: Certain features or functionalities of the Service may require payment of fees. You agree to pay all applicable fees as specified on our website or as otherwise communicated to you. All fees are non-refundable, unless otherwise stated.

5.2 ONE-TIME payment: If you subscribe use the Service, you accept to proceed the payment of the ONE-TIME campaign fee. The pricing might change in the future, but will not affect your past payment. A refund is not provided in that case.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE USE OF THE SERVICE DURING THE SIX-MONTH PERIOD PRECEDING THE CLAIM.

By agreeing to use the Service, you confirm that the Service regular fee(s) payment(s) we agree upon are not refundable. However payments made by mistake can be refunded under normal condition.

We may suspend or terminate your access to the Service at any time for any reason, without prior notice or liability. Upon termination, your right to use the Service will immediately cease, and you must cease all use of the Service.

We reserve the right to modify or update these Terms at any time. If we make material changes, we will notify you by posting the revised Terms with an updated “Effective Date” on our website or by other means. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
